AI Oversight: Not everything is trust and flowers

Agentic AI is moving faster than most boardrooms can process it. Our conversation should no longer be about whether AI can draft a memo or summarize a meeting. Instead, we need to discuss whether systems can and should decide, act, coordinate across tools, and keep working with minimal human intervention. That shift changes the governance question from “What can this model generate?” to “What can this system do on our behalf, and who is accountable when it does it?”

For boards, that distinction matters. Traditional AI oversight often focused on data quality, privacy, bias, and model risk. While this basis remains important for Agentic AI, agentic systems broaden the impact. They can trigger workflows, spend money, access systems, and amplify mistakes at machine speed. In other words, the risk is no longer confined to bad output. It now includes bad action.

That is why agentic AI should be treated as an enterprise control issue, not just an innovation story. If the board members only hear about use cases and successful projects, they are already behind. The more useful question is whether management can prove that every autonomous action is bounded, observable, and reversible.

Agentic AI: From Outputs To Actions

The easiest mistake boards can make is to assume that agentic AI is just a more advanced version of chatbots or copilots. It is not. A chatbot answers. An agent acts. That means the organization is effectively delegating slices of operational authority to software that may chain decisions together without a person reviewing each step or even the ultimate outcome.

This lack of clear oversight creates a governance challenge akin to that of delegated authority in finance or procurement. Except at much higher speeds and with far less institutional familiarity. A procurement officer might have signing limits, approval thresholds, and audit trails. An AI agent can be given a toolchain, a goal, and access to a system, then improvise toward completion. If the board would not accept that level of autonomy from a junior employee, it should be cautious about granting it to a machine.

The oversight model, therefore, needs to ask practical questions. What tasks are allowed to be fully autonomous? Which actions require human approval? What logs exist? Can the system be shut down quickly? Can outputs be traced back to inputs, prompts, policies, and actions? Without those controls, “agentic efficiency” can become “agentic opacity.”

AI Governance Model

Boards do not need to become technical experts in orchestration frameworks or tool-use policies, but they do need a governance model that treats agentic AI as a managed operating capability. That starts with ownership. Someone in management must be clearly responsible for approving use cases, setting guardrails, and reporting exceptions. If responsibility is scattered across IT, security, legal, and product teams without a single accountable leader, oversight will blur quickly.

The board should also expect a use-case taxonomy. Not all agents are equal. A system that drafts customer replies is not the same as one that can issue refunds, modify vendor records, or interact with internal infrastructure. Risk rises as the agent’s autonomy, data access, and external reach increase. That means the organization should classify deployments by impact, with stricter controls for high-consequence tasks.

Another important element is lifecycle governance. Agentic systems are not “set and forget.” They need periodic review, red-teaming, permission audits, and behavior testing after every major model, policy, or tool change. Boards should insist that management reports not just where agentic AI is deployed, but how often it is reviewed, what incidents have occurred, and what was learned from them.

Controls And Assurance

A board cannot oversee what it cannot verify. For agentic AI, that means assurance has to be built into the architecture. The minimum expectation should be least-privilege access, explicit action boundaries, strong identity controls, and logging that captures both decisions and actions. If an agent can send an email, change a ticket, call an API, or move data, the system should record exactly when, why, and under what policy it acted.

Human-in-the-loop review still has a role, but boards should be careful not to accept it as a slogan. The real question is where humans intervene, how often they actually do so, and whether they have enough context to catch bad actions in time. If the review step is merely ceremonial, it is not a control. It is a delay.

Boards should also ask about vendor dependency. Many agentic AI capabilities will arrive through external platforms, not internal builds. That creates concentration risk, especially if the vendor controls model updates, tool permissions, or telemetry. Oversight should therefore include third-party due diligence, contractual rights to audit, and clear exit plans. In the same way that companies learned to ask about cloud resilience and security posture, they now need to ask about agent autonomy, data retention, and control reversibility.

Board Questions

The board does not need a long checklist, but it does need a disciplined line of inquiry. The first question is simple: where are we allowing AI to take action without a human in the loop? If management cannot answer that clearly, the organization is not ready for broad deployment.

The next question is whether management can demonstrate containment. If an agent behaves unexpectedly, can the company detect it quickly, contain it, and reconstruct the sequence of events? That is a governance issue as much as a technical one. It affects legal exposure, customer trust, and operational continuity.

Boards should also ask how agentic AI affects existing controls. Does it bypass approval chains? Does it create shadow automation outside formal governance? Does it increase the speed of fraud, error, or policy violation? Those questions matter because the biggest risk is often not dramatic failure, but ordinary failure happening at scale.

Finally, the board should require management to define success in terms beyond productivity. If the only metric is speed or cost reduction, the organization may underinvest in control. A better approach is to measure autonomy alongside accountability, showing that the company can achieve efficiency without sacrificing oversight, culture, or the corporate vision.
